Upon receipt of one half of the agreed upon dollar amount $____.__ PuterVill agrees to provide *Client, with the following Internet Services:

1. In cooperation with the *Client, PuterVill will design and create the desired web page/site or agreed upon samples.
2. Screen shots of the desired page/s will be posted at www.putervill.com at the agreed upon location and date for *Client's review.  If this is a large undertaking the agreed upon samples will be posted.
3. All work done by PuterVill will remain the sole property of PuterVill until such time as the full payment of $____.__ is received.  Any publication on or off of the World Wide Web by *Client of such work prior to ownership is in violation of the United States copyright laws and prosecutable by law.
4. If so desired an independent host will be sought and space purchased for the *Client for an additional one time charge of $50.00, all cost and payments to the independent host will be the sole responsibility of the *Client.
5. All art work is created and copyrighted by PuterVill and remains the property of PuterVill unless otherwise indicated by prior agreement as attested to in the final written estimate and attached to this agreement.

Any amendments to this agreement such as the written estimate provided to *Client or other contractual decisions must be made in writing and with the full agreement of all parties involved, indicated by their signature or initialing.

One half of all fees are payable before work begins on the page/site with the balance due no more than five business days after work has been completed.  At time of final payment PuterVill will present the *Client with a full backup copy of all web page/s, code and artwork, plus any property of the *Client's such as photos, artwork, etc.  PuterVill agrees to publish all necessary code and artwork to the *Client's web site if so desired.  The *Client will be notified by telephone and/or electronic mail at such time as site is ready for viewing.  All Web Hosting fees and Registration fees are the sole responsibility of the *Client and must be paid for in advance.  All fees and deadline dates are to be agreed upon and noted herein at the time this agreement is signed.

All parts of the requested web site, (photos, camera ready art, copy, etc.) and one half of the agreed upon fee must be received by PuterVill at least fifteen business days prior to requested completion date.  The *Client may request minor changes in the site after completion, however an additional charge may be made for extensive changes.  Color preferences, exact copy and any other wishes the *Client has, must be made in writing at or before work is started.  PuterVill will provide *Client with a written estimate as soon as possible after initial meeting.  The accepted estimate must contain any changes and be attached to this agreement and signed by both parties in order for the estimate or this agreement to be considered a legally binding contract on behalf of the *Client or PuterVill.  Any additional web work, art work, etc. pursuant to the agreed upon web site, page, templet, or changes must be requested by the *Client and if agreed upon by PuterVill submitted in writing and attached herein along with written submission of any additional charges necessary to complete said request and signed by all effected parties.  All materials, photos etc shall be returned to the *Client when final payment is made.

In such case that the *Client does not provide PuterVill with all parts necessary to create the agreed upon web site, page/s, or templet within twenty five business days of the signing of this agreement, the full and agreed upon amount becomes due and payable.  The site page/s templet will be completed by PuterVill when all parts are made available to PuterVill.

The code elements, custom images, backgrounds, etc. created for the *Client are based on techniques pre-developed by PuterVill and will remain the property of PuterVill.  None of which can be redistributed or reused without the express written consent of PuterVill.

The *Client must obtain all necessary permissions and authorities in respect to the use of all copy, graphic images, registered company logos, names and trademarks or any other supplied material, that is not owned exclusively by them or are of their own or creation.  Copies of all such permissions and authorities must be supplied to PuterVill for their records.  The *Client represents to PuterVill and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to PuterVill, by them for inclusion in web pages are owned by the *Client, or that the *Client has permission from the rightful owner to use each of these elements.

A small link to PuterVill will appear at or near the bottom of the each page on the site.  The link opens an additional browser window and will not cause users to leave the *Client's web site.  This link may not be modified at any time without express written consent of PuterVill during the existence of the web site for public viewing.  Additionally, design credits to PuterVill may also be included in the web code of each page, which is hidden from normal view, and may not be modified at any time without express written consent of PuterVill during the existence of the web site for public viewing.  No such code hidden or otherwise will be placed anywhere in any web page/s templet/s that the *Client is not shown upon request.

Links to your web page, site and/or art work will be placed at any PuterVill site at the sole desecration of PuterVill unless prior agreement is made by *Client and PuterVill.  This formal document must be presented in writing and signed by all parties involved.  Full compensation for exclusive rights having been made to PuterVill.

Cancellation of orders may be made by telephone or e-mail, within 24 hours after this agreement is signed and must be confirmed in writing.  Cancellation made beyond this period will be billed in accordance to the work completed by PuterVill and at their sole discretion.

This Agreement shall claim venue and jurisdiction for any legal motion or claim arising from this agreement.

*Client is encouraged to review the appearance of all material within 24 hours of posting.  PuterVill will notify *Client by electronic mail or other agreed method as each step outlined and agreed upon is completed.  The materials will be considered accepted and approved unless *Client notifies PuterVill within 24 hours of notification of the posting.

By so signing this Agreement, *Client___________________* agrees to supply PuterVill any passwords or necessary information required to access any domain *Client owns in order to place the agreed upon content on said web site.  PuterVill having provided *Client with CD backup shall remove all materials, passwords, etc. from their computers.  PuterVill can not and will not accept responsibility for any alterations caused by third parties or the *Client occurring to the *Client's pages once they are posted on the Internet.

The parties have executed this agreement on the dates transcribed below and submit that they are able and have the necessary authority to enter into this agreement.  All parties have full knowledge of the full cost as so described in the attached written estimate and agree to abide by all payments and work as so described.
